These Terms of Use create a legal agreement between you (either you as an individual or the entity or organization on whose behalf you are entering into these terms and conditions) and Massumi + Consoli LLP (“MCLLP,” “us,” “we,” or “our”) governing your use of this website (the “Website”).

6. Other Terms Regarding Our Attorneys

MCLLP practices laws in the jurisdictions in which its offices are located, as well as other jurisdictions. However, please note that each MCLLP attorney is licensed to practice only in those jurisdictions set forth in that attorney’s Website biography. Except as specifically stated, each MCLLP attorney is not certified (including as a specialist) by any professional or government authority, nor is any attorney certified as an “expert” or “specialist” pursuant to any authority governing the practice of law in New York or California.

To the extent required by applicable Bar Associations MCLLP makes the following designations:

  • MCLLP’s principal office is its Los Angeles office.

  • MCLLP’s responsible attorney for its offices in California is Peter Massumi.

  • MCLLP’s responsible attorney for its office in New York is Anthony Consoli.

You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including, but not limited to, that such communications be in writing.   • Except as expressly provided in these Terms of Use, any reproduction, display or other dissemination of information or content contained in this Website is strictly prohibited and constitutes copyright infringement. If you do not agree to the new terms, you are no longer authorized to use the Website.

12. Governing Law; Venue

These Terms of Use shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. All legal proceedings will be brought solely in Los Angeles, California, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

(a) Waiver. Our failure to enforce any right or provision of these Terms of Use will not be considered a waiver of those rights.

These Terms of Use (as well as the Privacy Policy and any other notice posted on the Website) constitute the entire agreement between us regarding our Website and supersede and replace any prior agreements we might have had between us regarding the Website. These Terms of Use may not be modified orally.

(d) Construction. The headings used in these Terms of Use are for convenience only and have no legal meaning or effect. Terms of Use defined in the singular have the corresponding meanings in the plural, and vice versa. Unless the context of these Terms of Use clearly requires otherwise, words importing the masculine gender include the feminine and neutral genders and vice versa. (e) No Third Party Beneficiaries. No other person or company will be third-party beneficiaries to the Terms of Use.

(f) Assignment. You may not delegate your legal obligations or transfer any of your rights in whole or in part under these Terms of Use to any third party without our advance written consent. We may freely assign these Terms of Use to any party without notice or consent.
